No contract will exist between you and Woodland Herbs until Woodland Herbs accepts your order by email confirming that your order has been received. The advisory email sent by PROTX to confirm credit card details have been accepted is not an acceptance of the order. We are under no obligation to accept your order, but would normally do so where the product is available.
Description, Specification and Price
The description and specification of products in the Web Site is only approximate; We will endeavour to ensure that any variation in the specification of the products does not adversely affect the performance of products supplied. To the best of our knowledge the product descriptions on the site are accurate and up to date; but we are continually working to improve our products and so specifications or design changes may be made from time to time which have not been reflected on the site; We reserve the right to make changes which do not materially affect the quality or performance of those products. We include images of products on our site to help you with your selection, however all product images shown are for illustration purposes only. All measurements and weights are approximate.
We will notify you of our acceptance of your order by email shortly after we receive it and at that point a binding agreement between us will be in place based on these terms and conditions. If we do not accept your order for any reason or the price of the product has increased between the time of the order and our acceptance of it (or if a supplementary delivery charge applies), we will email you to advise you of the change. You will then need to confirm your amended order. Payment of the price of an order must be received by Woodland Herbs and cleared before delivery. Payment can be made by any major credit or debit card, and will be debited and cleared from your account before the despatch of your Goods. All credit/debit card holders are subject to validation checks and authorisation by the card issuer. If the issuer of your payment card refuses to authorise payment to us, we will not be liable for any delay or non-delivery. Product Suitability Ownership of Goods
Woodland Herbs' products are used for a wide variety of purposes; It is the absolute responsibility of the customer and consumer to ensure that the products are appropriately used. Regulations issued by the Medicine Advertising Regulations Act; the Medicines Act 1965 and the Medicines Control Agency severely inhibits the description and application of many of our products. Goods remain the property of Woodland Herbs Limited until paid for in full.
Exclusions
To the extent that we are lawfully able to do so, we expressly disclaim all warranties of any kind; including but not limited to; warranties of title; fitness for a particular purpose; merchantability and non-infringement of proprietary or third party rights. We make no warranty that the web site and our services or any information will meet your requirements, that your access to and use of the services will be error free and that any errors or inaccuracies will be corrected. Further if your use of the web site results in the need for servicing or replacing equipment or data this will not be at our risk and expense.
We expressly disclaim any claims, losses and/ or damages of any nature resulting from: (a) unauthorised access to or alterations of your transmissions or data; (b) statements or conduct of any third parties. (c) defect in the goods arising from incorrect storage by the customer. Dried herbs should be kept in air-tight opaque containers in a cool place out of direct sunlight. If cared for correctly, herbs will remain active for long periods.
You agree that; your use of the web site and our services is at your sole risk; The web site and services are provided on an as is and as available basis. No advice or information, whether oral or written, obtained by you through or from the web site or from our services will create any warranty not expressly stated in these terms and conditions. You agree to indemnify Woodland Herbs and its Directors and hold us harmless from and against any claims; actions or demands, including any legal fees incur in connection therewith, resulting from your misuse of our web site or your breach of these terms and conditions. We will notify you promptly of any such claim, action or demand and will assist you as may be reasonably necessary providing you meet our costs and expenses, including our legal fees. In no event will our liability arising out of or in respect of these terms and conditions exceed £UK 1,000 and that in no event will we be liable for any loss of profits, goodwill, loss of business, loss of data or any other indirect or consequential loss or damage whatsoever, except that this exclusion of liability does not apply to any damages in connection with death or personal injury caused by the negligence of Woodland Herbs Limited, its directors or employees.
Other Exclusions
We will not be liable to you for any breach of our agreement, for delay or failure to perform if the delay or failure is due to acts of God, civil commotion, riots, floods, drought, fire, legislation or other cause beyond our reasonable control. This does not affect your statutory rights. If we choose not to enforce a right under our agreement, that decision will not prevent us from enforcing other rights, or the same right on a later occasion.
As we are not responsible for the operation of the secure link we will not, unless we are negligent, be liable for any loss you may suffer if a third party obtains unauthorised access to any information you provide via such link.
The Contracts (Rights of Third Parties) Act 1999 shall not apply to any contract between us, so that no contractual rights are conferred on third parties.
If any of these terms and conditions are found to be invalid then that provision shall not affect the validity of the remaining provisions which shall remain fully enforceable.
You can no longer cancel your order once you have opened the product containers or used the products; However; your statutory rights concerning the quality of those products will be unaffected
Returning Incorrect or Damaged Goods
In the unlikely event that your order is incorrectly shipped or found to be damaged or defective, we shall give a full refund or replacement. Please contact us within 10 days of receipt of your goods. Returns should then be sent back to us at Woodland Herbs, 100 Woodlands Road, Glasgow, G3 6HB, including a copy of the original invoice. We will reimburse the cost of postage and packaging. The statutory rights of the customer are not affected by these conditions.
The "Consumer Protection (Distance Selling) Regulations 2000" apply.
